Special Meeting – April 16, 2012

Present:  Doug Day (President); Robert Phillips (Secretary); Jim
Miller (Treasurer) and Cindy Ganka (Superintendent).

Special Guests:  Brandon Foss (Crispell Snyder); Dean Logterman
(Crispell Snyder); and Tim Andringa (Attorney-CESD via
tele-conference)

Doug Day opened meeting at 9:00 a.m.

Jim Miller made a motion to move to closed session per Section 9.85,
par. (1), sub (g), conferring with legal counsel for the governmental
body who is rendering oral or written advice concerning strategy to be
adopted by the body with respect to litigation in which it is or is
likely to become involved, Bob Phillips seconded the motion, motion
carried unanimously.

Discussion with Attorney, Tim Andringa, in closed session started at
9:01 a.m.

Bob Phillips made a motion to reconvene to open session, Jim Miller
seconded the motion, motion carried unanimously.  Reconvened meeting
at 10:18 a.m.

Bob Phillips made a motion to have Cindy Ganka contact Joy Bartelson,
Lyons Town Chairman, to inform her that the CESD Attorney will be
drafting a letter to Lyons District No. 2’s Attorney, Mike Dubis, to
set up an informal discussion regarding the default of contract which
was mentioned in their certified letter, Jim Miller seconded the
motion, motion carried unanimously.

Jim Miller made a motion to approve the CESD Attorney, Tim Andringa,
to draft a letter to Lyons District No. 2’s Attorney, Mike Dubis,
requesting to have an informal discussion regarding the certified
letter stating the CESD is in default of contract due to the lack of
construction of a sampling/metering station, Bob Phillips seconded the
motion, motion carried unanimously.

Bob Phillips made a motion to adjourn the meeting, Jim Miller seconded
the motion, motion carried unanimously.

Meeting adjourned at 10:20 a.m.
